Terms and Conditions

Effective Date: September 2025

These Terms & Conditions (the “Terms”) govern your access to and use of the Services provided by Teds Path LLC (“Teds Path”). By accessing or using the Services, you agree to these Terms.

1) About the Services: No Medical Advice

Teds Path operates a platform where independent Professionals publish training presentations and related content for Users to access (paid or free). Teds Path is not the author of most content and does not provide medical, dental, optometric, therapeutic, legal, financial, or other professional advice. Content is for informational and educational purposes only and does not create a clinician–patient relationship. Users rely on Teds Path content at their own risk. It is not a substitute for professional advice, diagnosis, or treatment. In an emergency, call your local emergency number (e.g., 911).

Teds Path is not a covered entity or business associate under HIPAA, and the Services are not intended to store Protected Health Information (PHI). Do not upload PHI or patient-identifiable data.

We do not claim CME/CE accreditation unless expressly stated for a specific offering. Where a Professional claims CE eligibility, the Professional is solely responsible for accuracy and compliance; Users must verify CE acceptance with their licensing board.

Canadian Users & Health Information. Teds Path is not a “health information custodian,” “custodian,” or equivalent under Canadian provincial health-information statutes (e.g., Ontario PHIPA, Alberta HIA, Saskatchewan HIPA, Manitoba PHIA, Nova Scotia PHIA, Newfoundland & Labrador PHIA). The Services are not intended to store “personal health information” as defined by those laws. Do not upload any personal health information or patient identifiers. Canadian Professionals remain solely responsible for complying with their provincial college rules (including advertising/endorsement restrictions, use of testimonials where prohibited, and telehealth rules).

Canadian CPD/CME. Unless expressly stated for a specific offering, no activity is accredited by Canadian bodies (e.g., CFPC Mainpro+ or Royal College MOC). Where a Professional claims Canadian CPD eligibility, the Professional is solely responsible for accuracy and compliance; Users must verify acceptance with their college.

2) Eligibility; Accounts; Security

  • You must:
    (a) be at least 18 (or the age of majority in your jurisdiction). If you are 13 and 17, you may use the Services only with the consent and supervision of a parent/guardian; and
    (b) provide accurate account information and keep your credentials confidential. You are responsible for activities under your account. Notify us immediately of unauthorized use.

3) Licenses & Use Restrictions

  • When you purchase or access content, Teds Path grants you a limited, non-exclusive, non-transferable, revocable license to view the content for your personal, internal, non-public use, streaming only unless expressly permitted to download. Resale, redistribution, framing, public performance, or derivative works of the content are expressly prohibited.
  • You are prohibited from interfering with the Services, circumventing access controls, or using or scraping/data-mining without written permission from Teds Path.
  • You may not use the Services to provide clinical care, diagnose, treat, or otherwise practice medicine/dentistry/optometry/therapy, including by soliciting or sharing case-specific advice.

4) Payments; Subscriptions; Refunds; EU/UK/Canada Consumer Rules

  • Prices & Authorizations. Prices, taxes, and fees are shown at checkout. You authorize us (and our payment processors) to charge your selected payment method for purchases and recurring subscriptions. We may change prices prospectively; any subscription price change will take effect on a future billing cycle after advance notice and your opportunity to cancel.
  • • Subscriptions. Subscriptions renew automatically until canceled. You may cancel at any time in your account or by emailing admin@teds-path.com; cancellation takes effect at the end of the current billing period unless otherwise stated. We do not provide prorated refunds for partial periods unless required by law.
  • Refunds. Unless required by law or stated for a specific offering, purchases are non-refundable once access begins. “Access” begins when any portion of the content is streamed or a download is initiated (including previews or partial playback). If you purchased a class and never started it (no streaming or downloads), you may request a refund within thirty (30) days of purchase. Third-party marketplaces (e.g., app stores) have their own policies.
  • EU/UK 14-Day Right of Withdrawal (Digital Content). If you reside in the EEA/UK and purchase digital content, you have a 14-day right to withdraw until delivery begins. If you request immediate access/streaming, you consent to immediate performance and acknowledge that the withdrawal right ends once delivery begins. For subscriptions that provide continuous digital content, the right ends upon the start of service after your consent/acknowledgment.
  • Prices, Currency & Taxes (Canada). Unless stated otherwise, prices are in USD. Your issuer may convert to CAD. Applicable GST/HST/PST/QST will be collected where required; otherwise, you are responsible for any self-assessed taxes.
  • Consumer Rights (Canada). Nothing in these Terms limits your non-waivable rights under provincial law (including Quebec’s Consumer Protection Act and Ontario’s Consumer Protection Act). Where required, we will provide renewal disclosures/reminders and allow cancellation in accordance with provincial law. If a statutory cooling-off or cancellation right applies, we will honor it.
  • Pre-Authorized Debits (Canada). If you authorize recurring payments from a Canadian bank account, you consent to pre-authorized debits (PADs) under Payments Canada rules. Amounts debited may vary (e.g., taxes/price changes); we will provide any required advance notice. You may cancel a PAD authorization through your bank or via your account settings; you may also email admin@teds-path.com. PAD cancellation stops future debits but does not, by itself, cancel your subscription; you remain responsible for any amounts due under the Terms.

5) Professionals/Contributors Addendum

If you publish, sell, or offer content on the Services, this section applies in addition to the rest of the Terms.

  • Responsibility for Content & Licensure. You are solely responsible for the content you provide, its accuracy, quality, and compliance (including advertising/endorsement laws, healthcare/telehealth advertising rules, intellectual property, privacy, publicity, and sector-specific regulations). You represent and warrant that you own all of the intellectual property, hold and will maintain all licenses, certifications, and permits required to create and distribute the content you publish, and that you will comply with all board and jurisdictional rules applicable to your profession. You will obtain all necessary rights and consents.
  • Required Professional Disclaimers. Where content discusses clinical techniques, you must include appropriate medical/dental/optometric disclaimers, including, as examples but not limited to, the following: “materials are educational and not a substitute for individualized professional judgment”; “results may vary”; “Users must consult applicable guidelines and laws”; and “any case studies are anonymized and not patient-specific recommendations.”
  • License to Teds Path. You grant Teds Path a worldwide, royalty-free license to host, reproduce, display, distribute, promote, and otherwise use your content to operate and market the Services in a commercial capacity. You retain ownership of your content.
  • Prohibited Content. You must not provide unlawful, infringing, deceptive, defamatory, obscene, hateful, harassing, or harmful content; you must not include or expose Teds Path to malware; you must not include content that provides instructions for illegal activities; you must not include or expose unauthorized personal data; and you must not include or expose any PHI.
  • Payments & Payouts. We may process payments and revenue sharing through Stripe (including Stripe Connect). You agree to Stripe’s terms and to provide accurate payout/tax information. You are responsible for taxes and regulatory obligations related to your earnings. We or Stripe may report payments to tax authorities (e.g., Forms 1099-K/1099-NEC) as required. Chargebacks and refunds may be offset against future payouts.
  • No Reliance on Teds Path. Teds Path does not vet or endorse your content.
  • Takedown; Moderation. Teds Path may remove or suspend content or accounts for policy violations or risk. Repeated intellectual property violations may result in termination.
  • Canadian Licensure & Advertising. If you are licensed in Canada or target Canadian audiences, you must comply with applicable provincial college rules (e.g., CPSO/CPSBC/CPSA/CMQ policies) and Health Canada advertising standards. Do not include patient testimonials or claims that are prohibited in any applicable province.
  • Canadian Personal Information. Do not include personal health information or other sensitive personal information of identifiable individuals. If you collect personal information from Canadians (e.g., via links or forms), you must provide your own privacy notice compliant with Canadian law (PIPEDA and, where applicable, Quebec Law 25) and obtain required consents.
  • Indemnity. You will defend, indemnify, and hold harmless Teds Path against claims arising from your content, conduct, or payouts, including alleged health-related misrepresentations, or intellectual property, privacy, and advertising rule violations.

6) Automatic Renewal

If you enroll in an auto-renewing subscription or continuous service:

  • We will present clear, conspicuous, pre-checkout disclosures of key terms, including renewal length, price, cancellation, and how to cancel; we will obtain your affirmative consent; and we will send a post-purchase acknowledgment with the terms and cancellation instructions (including a link to cancel online when you signed up online).
  • You may cancel at any time online in your account or by emailing admin@teds-path.com. Your cancellation takes effect at the end of the current billing period unless otherwise stated.
  • These commitments are intended to comply with New York General Business Law Article 29-BB (Automatic Renewal Law) and similar state laws.
  • Canada. For Canadian consumers, we will comply with provincial automatic-renewal and negative-option requirements (including Quebec and Ontario) by providing clear pre-checkout disclosures, post-purchase confirmations, easy online cancellation, and renewal reminders where required.

7) SMS Terms (if enabled)

  • By opting in to SMS/text messages, you agree to receive recurring automated or non-automated texts related to your account, purchases, and marketing (if you’ve consented to marketing). Message & data rates may apply. Message frequency varies. You may reply STOP to cancel and HELP for help. Consent is not a condition of purchase. We may use third-party providers to deliver messages.
  • Canada (CASL). For Canadian residents, commercial electronic messages (including texts/emails) are sent under Canada’s Anti-Spam Law. We obtain required consent, identify Teds Path LLC and our mailing address, and include a working unsubscribe mechanism in each message. You may withdraw consent at any time.

8) User Content & Feedback

If you post reviews, comments, or other materials (“User Content”), you grant Teds Path a perpetual, worldwide, royalty-free license to use, display, reproduce, and distribute such User Content in connection with the Services. Do not post content you do not have the rights to. Feedback/suggestions are non-confidential and may be used without restriction or remuneration.

9) Third-Party Services; Social Logins

The Services interoperate with third-party tools (e.g., LearnDash, Stripe, Google/Mailchimp, Meta/Instagram, LinkedIn). We are not responsible for those services. Their terms and privacy policies apply to their features.

10) Intellectual Property; DMCA

All rights in the Services and our marks belong to Teds Path or its licensors. We respect intellectual property rights. If you believe content infringes your copyright, send a notice with the information required by 17 U.S.C. §512(c)(3) to admin@teds-path.com or by mail to our DMCA agent at:

We may remove content and, where appropriate, terminate repeat infringers. Counter-notices may be sent to the same addresses.

Canadian Copyright “Notice-and-Notice.” If you are a Canadian user alleging copyright infringement, you may send a notice to admin@teds-path.com or by mail to the DMCA Agent address above. We follow Canada’s “notice-and-notice” regime and may forward notices to the alleged uploader and retain related records as required by the Canadian Copyright Act.

11) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TEDS PATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT THE CONTENT IS ACCURATE OR COMPLETE. NO PROFESSIONAL ADVICE IS PROVIDED.

Canada. Some provinces (including Quebec) do not allow certain warranty disclaimers or limits of liability. To the extent required by provincial law, your statutory rights are preserved, and any disclaimer/limitation that is not permitted will not apply.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEDS PATH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TEDS PATH IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. Some jurisdictions or territories do not allow certain limitations; in that case, liability is limited to the maximum extent permitted by law.

13) Indemnification

You agree to defend, indemnify, and hold harmless Teds Path and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from your use of the Services, your User Content, your violation of these Terms, or your violation of law or third-party rights.

14) Dispute Resolution; Arbitration; Class Waiver

Before filing a claim, the parties will attempt to resolve disputes informally by written notice and a 60-day negotiation period. Notices may be sent by email to admin@teds-path.com or by mail to:

If unresolved, binding arbitration administered by National Arbitration and Mediation (“NAM”) will apply on an individual basis, with no class or representative actions. The Federal Arbitration Act governs. Venue for hearings will be a location reasonably convenient to you (U.S.) or New York, NY (outside the U.S.), unless otherwise mutually agreed. Either party may bring qualifying claims in small claims court.

Opt-out. You may opt out within 30 days of the later of (i) your first use of the Services or (ii) the Effective Date by emailing admin@teds-path.com with subject line “ARBITRATION OPT OUT” or by mailing a written opt-out to the address above postmarked within the same period.

In the event of mass filings, claims may be batched to promote efficiency, and confidentiality will apply to proceedings, consistent with NAM rules. This section survives termination.

Canada (Consumers). To the extent prohibited by applicable provincial law (including Quebec’s Consumer Protection Act and Ontario’s Consumer Protection Act), the mandatory arbitration and class-action waiver do not apply to consumers. In such cases, disputes may be brought in the courts of your province/territory of residence, and nothing in these Terms limits your non-waivable rights.

15) Termination

We may suspend or terminate accounts or access for any violation of these Terms or risk to users or the Services. You may stop using the Services at any time. Certain provisions survive termination (e.g., licenses granted to us, disclaimers, limits of liability, and dispute resolution).

16) General

  • Governing Law. New York law governs, without regard to conflicts of law rules, except that the FAA governs arbitration. For disputes not subject to arbitration, exclusive jurisdiction and venue shall be the state courts in Westchester County, New York, and the federal court for the Southern District of New York (White Plains Division).
  • Entire agreement; severability; waiver; assignment; force majeure; notices. Standard terms apply. You may not assign without our consent; we may assign. We are not liable for events beyond our reasonable control. Notices may be provided via email or the Services.
  • Export & Sanctions Compliance. You represent that you are not located in, and will not use the Services from, a country or territory subject to comprehensive U.S. sanctions and are not on any U.S. government restricted list.
  • Accessibility. We strive to meet WCAG 2.1 AA standards; accessibility requests may be sent to admin@teds-path.com.
  • Cross-Border Processing (Canada). Personal information may be processed outside of Canada, including in the United States, by us and our service providers. By using the Services, you consent to such transfers. For Quebec residents, we conduct a transfer assessment as required by Law 25. See our Privacy Notice for Canada for details.
  • Language—Quebec. A French-language version of these Terms and key consumer disclosures will be made available to Quebec consumers as required by the Charter of the French Language (Law 96). Une version française de ces Conditions et des renseignements clés à l’intention des consommateurs sera offerte aux consommateurs du Québec, conformément à la Charte de la langue française.
